Ask Media Group / is  seeks an In-House Counsel: Tech Transitions, Corporate & Complianceto join our legal team.

7+ years with at least 5 focusing on representing internet/software/computer/digital technology clients.

Job Description

Responsibilities include:

Contracts: Assist with all stages of a variety of commercial transactions.

  • Negotiate and draft complex transactional agreements for online marketing transactions, web-based properties, content development/use and contractor and vendor engagement.
  • Review, analyze and summarize contracts to monitor critical terms/dates.
  • Track status of current and pending agreements.

Corporate Maintenance: Maintain corporate records and all other aspects of corporate compliance.

  • Prepare resolutions, written consents, minutes, certificates, and similar documents.
  • Manage corporate compliance filings including state annual reports and other statutory filings.
    Support to other departments including tax and finance as required and as related to corporate governance matters.
  • General corporate housekeeping matters including entity formation, entity dissolution and entity foreign qualifications.    


 Support IAC Publishing’s data privacy and security program.

  • Draft web and software documentation, including EULAs, Terms of Service and Privacy Policies.
  • Assist with developing and maintaining user data collection, retention and use policies for all web properties.
  • Review new vendor/partner compliance/security documentation.
  • Draft, deploy and communicate compliance policies and practices to internal business teams.
  • Manage workflows and tasks associated with privacy legislation and regulation, including the General Data Protection Regulation (GDPR), such as ensuring existing and upcoming agreements includes the necessary legal provisions and/or data processing addenda.
  • Monitor, triage, and respond to communications to legal, copyright, trademark and privacy-related email accounts.
  • Assist with compliance training and communications initiatives.
    Maintain agreement tracking log concerning privacy matters related to with vendors / partners.
  • Other compliance program administration activities, as may arise from time-to-time.

Legal Operations:

  • Maintain, update, and revise legal department forms and company policies and procedures.
  • Contribute to organizational, process, and procedural review and changes to increase departmental efficiency.




The successful candidate should have the following:

  • 7+ years with at least 5 focusing on representing internet/software/computer/digital technology clients.

  • Blend of law firm and in-house experience; preferably transactional IP/IT focused 

  • Excellent drafting skills: demonstrated experience with commercial transactions, specifically the drafting and negotiation of complex technology-related agreements.

  • Background in Internet, online advertising, copyright, trademark and privacy law.
  • Experience overseeing and closing multiple projects and transactions.
  • JD from an accredited law school; with strong academic performance.
  • CA bar membership (In-House Counsel registration acceptable).
  • Adaptability and ability to work on a wide range of matters that arise on a day-to-day basis.
