Job Description

The Legal Compliance and Corporate Counsel will report to the General Counsel as a member of the Legal Team. This position represents a key leader and trusted advisor to company leadership with broad responsibility for many aspects of product, employment, governance, risk, commercial and compliance matters in furtherance of the company’s growth and strategic initiatives. The successful candidate will have a “can do” attitude and willingness to roll up their sleeves to support and build critical legal functions to support growth and scaling initiatives with high velocity. Less focused on the historical or theoretical, the individual in this role will need to be a pragmatic problem-solver who thrives on building innovative processes and programs that focus on driving our business initiatives forward.

As the “right hand” to the General Counsel, they will also have opportunity to lead and play an important role in corporate initiatives such as identifying and filling legal compliance gaps, operationalizing and monitoring legal developments and implementing them into template legal documents, compliance and enterprise risk management as well as serving as a key cross-functional contact.

Essential Duties and Responsibilities

Compliance

  • Develop, implement and manage legal compliance program to comply with a broad range of general regulatory matters, including anti-bribery and anti-corruption/FCPA, employment and labor regulations, privacy and data management, records retention, and cross-border transfers.
  • Collaborate with internal business partners to assess legal compliance and provide practical advice and day-to-day support to internal stakeholders regarding legal risks, business strategies, and other issues related to general legal matters.
  • Research and assess legal and regulatory matters, prepare internal written positions and advise decision-makers on the risks, options for implementation, and recommend courses of action to contractual templates and/or product and business teams to ensure compliance with existing law and how to prepare for emerging legal regimes.

Strategic

  • Collaborate across all functions to deliver sound and actionable legal advice to effectively achieve business objectives while protecting the company's interests
  • Work as a generalist to provide support and establish positive relationships with various business partners including product marketing, communications, information security, finance, product management, engineering, technical operations, customer success, pricing, and sales to advise the business on issues through all stages of the business lifecycle.
  • Identify, manage, and resolve legal issues in a manner consistent with the company's business philosophy and strategy.
  • Other duties and assignments determined by the General Counsel to support internal stakeholders and continually enhance support function processes for execution of the company's strategies
  • Assist with ensuring business-centric strategic alignment for channel partner contracts, reseller contracts for public entities and governments (local, state, federal), license agreements, and professional services agreements.
  • Develop and present training to various personnel throughout the organization, drive awareness of corporate governance, legal compliance, and risk management guidelines

Commercial 

  • Work closely with commercial contracting managers acting as a trusted partner to serve as the escalation point and backup for commercial transactions and privacy-related commercial matters, including drafting, negotiating MSA, DPAs, SCCs, professional service agreements and SOWs, partnership or referral agreements. 
  • Draft and revise templates and contractual language to assist in commercial transactions. Review, update and maintain various form agreements in alignment with benchmarked industry standards and regulatory changes

Education and Experience

  • Juris doctorate from an accredited law school; admitted to at least one state bar in the U.S.
  • 4+ years overall relevant legal experience at a law firm or in-house; 
  • 3+ years experience working in or counseling technology SaaS companies strongly preferred and good working knowledge of legal issues related to SaaS technology including licensing, IP protection, security and relevant data privacy laws and regulations, including GDPR, CCPA, and HIPAA.
  • Experience building, implementing and managing compliance programs with an eye toward scalability as the business grows and evolves.
  • Exemplary written and verbal communication skills
  • Proficient with technology, including SalesForce, Microsoft Office 365 (Word, PowerPoint, Excel, Outlook, Teams)
  • Light travel required for team and company meetings
