Job Description

JOB PURPOSE:

The primary focus of the role is to work collaboratively with the Head of Control Room to manage the day-to-day requirements of the activities performed by the Control Room. The activities include monitoring implementation of Control Room policies and procedures, support in the management of business and personal conflicts of interest of FAB and employees, respectively, and preserving the integrity of the bank’s information barriers by monitoring and controlling the flow of confidential information between the bank’s private side businesses and public side businesses.

In addition, the role is expected to enhance Control Room policies and procedures, train the junior members of the Control Room and provide Head of Control Room with up-to-date information regarding breaches and the level of compliance with Control Room policies and procedures in the Bank. It also includes providing advice to the business teams in respect of implications of the Bank’s policies in relation to control room activities.

The role will be assessing, identifying, documenting, managing and escalating Conflicts of Interest concerns within his/her area in line with FAB’s Code of Conduct and, as per the role and responsibilities, defined in the relevant policies and procedures, including but not limited to policies around Conflict of Interest, Gift and Hospitality, Personal Account Dealing, Deal related Conflicts of Interest and Outside Business activities.

KEY ACCOUNTABILITIES:

  • Monitor the day-to-day activities of the Control Room and provide subject matter expert support to employees (both in the Control Room and in the business) on issues of interpretation with respect to the policies and procedures administered by the Control Room and regulatory requirements 
  • Review deals that are reported to the Control Room to identify any potential conflicts with other deals or activities of the bank.
  • Monitor results of conflict clearance checks for FAB deals and transactions and status of the entities in the watch and restricted lists
  • Escalate any identified (potential) conflicts of interest to the Head of Control Room for review and clearance
  • Provide guidance to the business teams on the management of potential or actual conflicts of interest and the handling of material non-public information in the business
  • Provide guidance and timely responses to ad hoc queries from business including those related to trading and the restricted list and watch list.
  • Monitor sufficiency of information barriers within FAB, wall crossing arrangements and insider lists
  • Monitor the results of review FAB employees’ requests for personal account dealings (PAD), outside business interest (OBI) and gifts and hospitality (G&H)
  • Monitor PAD transactions of staff members to ensure all trades are pre-approved and in accordance with the PAD policy.
  • Monitor and escalate overdue employee Control Room attestations to Business Line Managers and Compliance
  • Review conflicts of interests, breaches and non-compliance of Control Room policies, procedures and regulations identified by the Control Room team or reported to the Control Room.
  • As approved by Head of Control Room, initiate the investigation, conduct interviews and seek evidence of potential breaches and non-compliance of policies, procedures and regulations. Escalate material conflicts of interests, breaches and non-compliance to Head of Control Room in a timely manner
  • Work closely with Compliance and HR in the investigation, and development of remedial activities and disciplinary actions, if needed. Track closure of remedial activities and provide support in reporting breaches to regulators
  • Review Control Room management information and reports for the Head of Control Room
  • Monitor Control Room regulatory landscape and update Control Room processes, policies and procedures to ensure compliance with new regulatory requirements
  • Conduct Risk and Control Self-Assessment for Control Room activities and develop appropriate corrective actions or improvements to Control Room processes to address risks identified
  • Develop tailored training and awareness program on Conduct Risk, Market Abuse, Control Room activities and regulatory requirements to FAB employees and various business areas in the Bank
  • Foster a close working relationship with business lines, including awareness of key business developments and any changes to procedures and practices that may impact the Control Room activities
  • Identify enhancements to Control Room processes, policies and procedures while taking into consideration leading market practices. Assess new systems and technology that can be applied to Control Room processes with a focus on increasing efficiency and effectiveness
  • Mentor and coach junior members of the Control Room team

Qualifications

  • A minimum of five years of experience in a global bank either in Control Room, Compliance or Corporate and Investment banking role
  • In-depth understanding and experience in complying with UAE and global regulatory requirements (such as EU Market Abuse Regulation, Markets in Financial Instruments Directive, and UK FCA Handbook) on compliance, regulatory, legal and internal controls, particularly in relation to Market Abuse, Conflict of Interest, Insider Dealing and information barriers (Chinese Wall arrangements)
  • In-depth understanding of conduct risks, related processes, controls and activities
  • In-depth knowledge of Corporate and Investment Banking products and services including a deep understanding of trading and advisory activities
