As a critical member of the core M&A team, you will be tasked with leading and performing deep-dive financial and accounting due diligence on target companies and providing relevant insights and analysis to help leadership make informed investment decisions.  This role will report directly to the CFO of Industrious Group, with a strong dotted line responsibility to the Director of M&A.  Key activities include, but are not limited to:

  • Be the internal subject matter expert on financial due diligence matters specific to each M&A opportunity and assist with insightful decision-making.
  • Engage with financial representatives of the target company to develop a thorough understanding of their business operations and finance and accounting processes and policies to determine potential financial risks, internal control implications, and integration requirements.
  • Analyze financial data to identify historical and projected financial and operating trends, quality of earnings, and potential liabilities and risks which impact valuation and negotiation of the purchase agreement.
  • Analyze target company data for working capital considerations, net debt considerations, and potential liabilities and risks which impact valuation.
  • Prepare comprehensive diligence report out summary, focusing on key issues such as accounting policies/concerns, normalized earnings, management budget feasibility, operational insights, indebtedness considerations, and post-transaction working capital analysis.
  • Spearhead the analysis and development of the financial forecast/business plan, including financial statement modeling and analysis for acquisition targets. 
  • Manage and oversee 3rd-party financial advisor to deliver comprehensive QoE Report and Tax Due Diligence Report during confirmatory due diligence phase.
  • Lead and execute special projects of strategic importance, as appointed by the CFO, in support of Industrious Group and/or our subsidiary companies. 

 

Qualifications

Requirements to be Successful:

  • Bachelor’s degree in accounting, MBA is preferred
  • Deep financial analysis expertise with 7+ years of experience performing M&A due diligence
  • Experience in a manufacturing environment with POC accounting strongly preferred
  • Ability to forecast, analyze and control operational results
  • Strong communication and organizational skills with a willingness to respectfully challenge others
  • Insightful ability to identify trends and themes for continuous improvement across the function
