Job Description
The Legal & Compliance Lead will support in providing legal and compliance guidance to the organization, offering practical, business-focused advice on corporate, commercial, regulatory, employment, governance, and risk management matters while helping to ensure compliance with applicable laws, regulations, and internal policies.
Key Responsibilities:
Legal Advisory & Corporate Governance
- Provide strategic legal advice to management and business teams on operational, commercial, and corporate matters.
- Draft, review, negotiate, and manage a wide range of contracts, including:
- Vendor and supplier agreements
- Customer contracts
- Service agreements
- Partnership agreements
- Non-disclosure agreements (NDAs)
- Employment and consulting agreements
- Advise on corporate governance requirements and ensure compliance with statutory obligations.
- Support board and management meetings through legal guidance, documentation, and governance oversight.
- Manage corporate records, registrations, licenses, and legal documentation.
- Coordinate with external legal counsel when specialized expertise or litigation support is required.
Compliance Management
- Develop, implement, and continuously improve the organization's compliance framework.
- Monitor regulatory developments and assess their impact on business operations.
- Ensure compliance with applicable laws, regulations, industry standards, and internal policies.
- Conduct compliance risk assessments and implement mitigation strategies.
- Develop and maintain compliance policies, procedures, and controls.
- Oversee regulatory filings, reporting obligations, and licensing requirements.
- Serve as the primary liaison with regulatory authorities and government agencies.
Risk Management
- Identify legal, regulatory, operational, and reputational risks facing the organization.
- Design and implement risk mitigation measures and internal controls.
- Support enterprise risk management initiatives.
- Investigate compliance breaches, regulatory issues, and ethical concerns.
- Recommend corrective actions and monitor remediation efforts.
Ethics & Corporate Integrity
- Promote a strong culture of ethics, integrity, and accountability across the organization.
- Develop and administer the Code of Conduct and related policies.
- Manage whistleblower and ethics reporting mechanisms.
- Lead internal investigations relating to misconduct, fraud, corruption, conflicts of interest, and policy violations.
Data Protection & Privacy
- Ensure compliance with applicable data protection and privacy regulations.
- Develop and maintain privacy policies and procedures.
- Advise business teams on data governance, cybersecurity, and information management matters.
- Support incident response activities relating to data breaches or privacy concerns.
Regulatory Compliance & Monitoring
- Conduct compliance monitoring reviews and audits.
- Track compliance performance metrics and prepare management reports.
- Coordinate responses to regulatory inquiries, examinations, and inspections.
- Ensure timely remediation of identified compliance gaps.
Litigation & Dispute Management
- Manage pre-litigation and litigation matters.
- Coordinate with external counsel on disputes, claims, and regulatory proceedings.
- Develop strategies to minimize legal exposure and associated costs.
- Maintain records and reporting related to legal proceedings.
Qualifications
- Bachelor's Degree in Law (LL.B., J.D., or equivalent) and admission to practice law in a relevant jurisdiction.
- Minimum 5-8 years of experience in legal, compliance, regulatory, risk management, or corporate governance roles.
- Strong expertise in contract drafting, review, negotiation, and commercial legal advisory.
- Proven experience developing and managing compliance programs, regulatory engagement, and risk management frameworks.
- Excellent leadership, stakeholder management, communication, and problem-solving skills with a high level of integrity and professional Judgements.
