Job Description

Managing the legal and compliance department of the Company with efficiency, accountability and in an organized way, in order to be conducive to the provision by latter of proactive and pragmatic professional advice to the business on all legal and regulatory matters with the legal department aiming at supporting the company/group business. The successful candidate will be able to ensure legal compliance and limit risk exposure.

  • Sound management of the Byborg Enterprises legal and compliance department, defining scope of responsibilities and tasks, streamlining the way the department operates in order for the latter to provide comprehensive legal support to the company in a timely manner. Further attract, develop, direct, motivate and drive performance from legal team
  • Provide strategic and hands on legal advice to management. Advise on risks and liabilities of proposed commercial transactions and propose creative and practical legal solutions to meet business objectives
  • Advise and work on rationalized corporate group restructuring and/or M&As; pave the way for a potential listing (legal standpoint)
  • Overall broad legal knowledge and competency (corporate law, ethics & compliance, litigations, labor law, IP, civil, commercial, capital markets, data protection etc.)
  • Anticipate issues, assess risk strategically, manage proactively notably as regards core products and legal structuring of new transactions or launch of new business initiative/products, in collaboration with other relevant departements.
  • Identify proactive solutions that will eliminate or mitigate risks, also through the development of sound processes
  • Base your decision-making process on ethics and integrity
  • Establish relationship of trust and respect with key stakeholders. Work collaboratively with other group departments (notably tax and finance)
  • Draft agreements that minimize risks and maximize legal rights on behalf of the Company and the group to which it belongs
  • Deal with complex, significant matters that cut across legal and related business areas
  • Manage budget and expenses
  • Keep abreast of legislative changes
  • Liaise with authorities regarding legal matters, interaction and/or coordination with notaries, external counsels, clients or partners and negotiate fees and transactions
  • Develop and improve corporate policies, procedures and systems in alignment and consistency with Docler Group legal and compliance function. Ensure contracts comply with all relevant policies and procedures
  • Create regular and ad-hoc reports and analisis for the Board
  • Ensure that the Byborg legal department always adopts a collaborative,transparent, informative and fully aligned relationship with Docler Group Legal and Compliance department
  • Any other legal and compliance task assigned by the Board

 

Qualifications

  • Master Degree in Law/LLM, MA or BSc in Business Administration an asset, Bar exam
  • Relevant professional experience (12+ years). In particular a combined experience of both law firm and in-house practice, this latter preferrably prevailing, (cross jurisdiction) would be an asset.
  • Legal proficiency as regards Corporate, Civil and Commercial laws (IP law an asset), ideally with prior capital markets exposure and sound knowledge of the Luxembourgish and EU legislative environment and procedures. Knowledge of U.S. system would be an asset.
  • Excellent drafting skills as regards civil/commercial transactions (IP law an asset) and/or corporate resolutions (legal corporate management and related).
  • Excellent judgement and analytical skills, sound legal reasoning, ability to develop legal strategy and objectives
  • Excellent communication, organizational, management, problem-solving and good follow-through skills with successful pattern to lead the team to achieve tight deadlines and deliver sound advices and error free contracts especially in M&A
  • Capability to work independently as head of legal and coordinate with cross-department legal team-members with a client-oriented approach (pro-activity and accountability driven)
  • Ability to operate and thrive in a high-paced, changing and fast moving work environment
  • Ability to convey team oriented and collaborative attitude within the legal department/s in order to support at best group business units and business on a timely basis
  • Flexibility and willingness to work on a broad variety of contracts and related matters
  • Must possess professional maturity, business minded, can-do attitude with excellent corporate communication skills and ability to influence at executive level
  • Fluent English and French is a must
