Job Description

A Corporate Paralegal prepares integral corporate documents/materials, manages the intellectual property portfolio, performs legal research, assist in all stages of corporate transactions and with the preparation of documents necessary to comply with laws in the conduct of business activities. A Corporate Paralegal manages major projects/initiatives in the Legal Department.

SPECIFIC ACCOUNTABILITIES

  • Create and maintain/manage the corporate records and minute books of Central 1 and its subsidiaries by:
    • updating and maintaining them to ensure documents comply with the applicable legislation and resolve any deficiencies;
    • drafting director and officer resignation and consent documents;
    • completing the required government filings such as articles, notices of change and annual returns with Industry Canada, BC Registry Services, Manitoba Companies Office, Financial Institutions Commission and Office of Superintendent of Financial Institutions;
    • preparing and revising corporate records precedents to ensure compliance with current legislation;
    • drafting director’s resolutions of the subsidiaries;
    • drafting officer’s resolutions of the subsidiaries;
    • drafting and maintaining the terms of reference for the Trust;
    • maintaining directors’ and officers’ registers and central securities register; and
    • performing due diligence of minute books and corporate records by identifying deficiencies and material matters.
  • Form or dissolve companies under direction from internal counsel,
  • Prepare audit letters for distribution to auditors – gather litigation and billing information to prepare draft response to auditors’ letter
  • Manage Central 1’s intellectual property portfolio – requires working directly with external counsel
  • Conduct legal research and prepare memos
  • Act as assistant corporate secretary to Central 1 Trust Central 1 Trust Company (the “Trust”) and CUPP Services Ltd. (the “CUPP”).  In this regard, prepare, coordinate and distribute meeting notices, minutes, reports and agendas for board and committee meetings
  • Review and draft agreements, amendments and other documents under the direction of internal counsel
  • Supervise the legal administrative assistant and assign/coordinate work and instructions, advice, and direction;
  • File material press releases and public disclosure documents such as Annual Reports and Annual Financials on SEDAR and disseminate materials to Central 1’s regional and national distribution media networks
  • Manage lobbyist activities and make appropriate filings at BC Lobbyist Registrar
  • Develop Central 1’s Contract Management System and oversee its implementation, including
    • Managing project life cycle from analysis through to deployment, providing project updates to internal management and acting as liaison between technical and operational staff in implementation issues 
    • Creating and organizing the development of the contract management system project and overseeing implementation, including quality assurance, testing and any modifications required of a contract management system project
    • Creating and conducting training on the contract management system and be available as a resource when required
    • Collaborating with business lines and seek feedback on continuously improving the process of contract management
  • Ability to work independently and with little instruction

    Qualifications

    • Diploma or certificate in accredited paralegal program with 3-5 years of experience working in a law firm or in-house legal team
    • Knowledge of legal procedures, statutes and regulations applicable to the corporate area
    • Experience filing documents on SEDAR
    • Ability to multi-task, and exercise sound judgment, discretion and confidentiality
    • Strong research, analytical and problem-solving abilities
    • Excellent oral and written communication, interpersonal and customer service skills
    • Ability to manage problems and situations that are constantly changing while using judgment and analysis to determine effective solutions
