Job Description

The Director of Legal is a senior executive responsible for leading the legal, governance, regulatory, compliance, and risk management functions across Cavista Holdings and its portfolio companies.

This role serves as a trusted advisor to executive leadership, the Board of Directors, and business leaders across the Group, providing strategic legal counsel that supports growth, protects enterprise value, and enables sound business decision-making. The Director of Legal will play a pivotal role in developing legal frameworks, strengthening governance structures, managing legal risk, and supporting complex commercial transactions and strategic initiatives.

The ideal candidate combines exceptional legal expertise, commercial acumen, strategic thinking, and executive presence with a demonstrated ability to navigate complex legal, regulatory, and business environments. This leader will ensure the organization maintains the highest standards of corporate governance, ethics, compliance, and legal excellence while supporting innovation, growth, and long-term value creation.

The Director of Legal will be instrumental in building and maintaining the legal infrastructure necessary to support a diversified investment portfolio and a rapidly growing enterprise operating across multiple industries and jurisdictions.

 

Key Responsibilities

  • Develop and execute the Group's legal strategy in alignment with Cavista Holdings' business objectives, growth agenda, and long-term vision.
  • Provide legal advisory services to the Executive Leadership Team, Board of Directors, and portfolio company leadership teams.
  • Establish and maintain world-class corporate governance frameworks, policies, and practices across the Group.
  • Provide strategic legal recommendations on business expansion initiatives, investments, acquisitions, partnerships, and corporate restructuring activities.
  • Lead legal due diligence efforts and support the structuring, negotiation, execution, and integration of mergers, acquisitions, divestitures, joint ventures, and strategic investments.
  • Develop, implement, and continuously improve legal policies, procedures, and governance standards across all portfolio companies.
  • Oversee the review, drafting, negotiation, and management of commercial contracts, vendor agreements, partnership agreements, financing arrangements, and investment documents.
  • Ensure compliance with applicable laws, regulations, and industry requirements across all jurisdictions in which the Group operates.
  • Advise leadership on emerging legal, regulatory, governance, and compliance risks that may impact business operations or strategic objectives.
  • Lead enterprise-wide legal risk management initiatives, ensuring timely identification, assessment, mitigation, and monitoring of legal exposures.
  • Manage litigation, arbitration, dispute resolution matters, investigations, and external legal counsel relationships.
  • Oversee intellectual property protection, licensing arrangements, trademark management, and proprietary asset protection strategies.
  • Support the design and implementation of ethics, compliance, anti-corruption, anti-bribery, and corporate conduct programs.
  • Provide legal oversight for employment and labor law matters, executive employment agreements, workplace investigations, and organizational policy development.
  • Advise on data privacy, cybersecurity, information governance, and emerging regulatory requirements affecting the business.
  • Support regulatory engagement efforts and maintain productive relationships with government agencies, regulators, and relevant authorities.
  • Oversee corporate secretariat responsibilities, including board governance support, statutory filings, corporate records management, and governance reporting.
  • Partner with portfolio company executives to strengthen legal and governance maturity across the Group.
  • Establish legal reporting frameworks, risk dashboards, and performance metrics that provide visibility into key legal and compliance matters.
  • Drive legal modernization initiatives through process optimization, technology adoption, contract lifecycle management, and operational efficiency improvements.
  • Develop and lead a high-performing legal team while fostering a culture of accountability, integrity, continuous learning, and professional excellence.
  • Promote a strong culture of ethical leadership, risk awareness, and corporate responsibility across the organization.

Qualifications

  • Bachelor of Laws (LL.B) degree from an accredited institution.
  • Barrister-at-Law (B.L.) qualification and admission to practice law.Qualified Legal Practitioner in good standing.
  • Master's Degree in Law (LL.M.) preferred.
  • MBA or Master's Degree in Business Administration, Corporate Governance, Risk Management, Finance, or a related discipline is advantageous.
  • Professional certifications in Corporate Governance, Compliance, Risk Management, Corporate Secretarial Practice, Data Privacy & Protection or related areas are highly desirable.
  • Membership in relevant professional bodies is preferred.

 

Experience

  • Minimum of 20 years of progressive legal experience.
  • At least 8 years in a senior legal leadership role such as Head of Legal, General Counsel, Legal Director, Group Legal Counsel, or equivalent.
  • Experience within a holdings company, investment firm, private equity environment, multinational corporation, diversified business group, or top-tier law firm preferred.
  • Demonstrated success advising executive leadership and boards on complex legal, governance, and regulatory matters.
  • Significant experience leading mergers, acquisitions, investments, joint ventures, and strategic transactions.
  • Strong corporate governance and board advisory experience.
  • Proven track record managing enterprise legal risk, compliance programs, and litigation matters.
  • Experience supporting multiple business units, industries, or geographically distributed operations.
  • Strong commercial contracting and negotiation expertise.
  • Exposure to cross-border legal and regulatory frameworks is highly desirable.
