Job Description

Under the general direction of the Assistant General Counsel, Corporate and Litigation, the Senior Corporate Governance Specialist supports three functions: 

  • Meetings of the corporation’s Board of Governors and its committees, including the EIM Governing Body
  • Records management for the corporation
  • Legal support by drafting correspondence and pleadings

What you will be doing:

For the corporate board - The ISO’s Board of Governors and its committees generally meet every six weeks, including a public session.  You would support the work of the Deputy Corporate Secretary, who serves as the primary point of contact for the corporate directors and other members, and administers the process for meetings, including scheduling, agenda, logistics, and minutes.  You would

  • Oversee logistics for meetings held outside Folsom
  • Post documents and notices related to meetings
  • Calendaring and scheduling
  • Classify records from meetings
  • Process compensation for directors and members and help track overall expenses
  • Train to serve as a backup for the Deputy Corporate Secretary by learning the full process for arranging and supporting meetings  

For records management – The ISO’s records management team oversees the retention, storage and disposition of records across the company.  Every business unit has a “records coordinator” that supports the program. You would

  • Monitor the process of disposing old records by tracking the progress of records coordinators, reviewing disposition forms, and storing completed requests
  • Manage the process of updating the retention schedule

·         Communicate with records coordinators to achieve program goals and objectives Respond to inquiries from records coordinators

  • Facilitate the annual review of records stored offsite and coordinate with the storage vendor

For the legal department – You would support the work of attorneys, primarily as they relate to corporate finances and financial regulation, including

  • Draft summaries of legal contingencies to support the annual corporate audit
  • Draft correspondence with insurance carriers
  • Help draft other legal pleadings

Qualifications

Level of Education 

  • A Bachelor’s degree (BA, BS) or equivalent education, training or experience in Business, Legal Studies or a related field, such as a paralegal certificate

Amount of Experience 

  • Equivalent years of education and training, plus at least five years related experience

Type of Experience

  • Public utility, law firm, public agency or in-house experience in records management, administrative support for board meetings or legal writing

  • Strong verbal and written communication and documentation skills, with a demonstrated attention to detail
  • Excellent interpersonal skills, suitable for interacting with the board and executive team
  • Ability to use deductive reasoning and analytical thinking with sound judgment and decision-making
  • Must be self-starting and willing and able to work independently in a dynamic corporate organization under pressure of tight deadlines and aggressive expectations
  • Problem solving skills with the ability to influence others without direct authority.
  • Work effectively in a team environment as facilitator and team member
  • Must be proficient with Microsoft Office Suite
  • Excellent organizational skills
