Job Description

Joining the Legal EAME team and reporting to Gemma Denny (Head of Legal EAME) the Lawyer will be primarily allocated to (i) review and assist the Earth Data Business Line by reviewing and preparing license contracts and all associated agreements and (ii) provide support to the Head of Legal. However, the team operates on a flexible basis so the ability and willingness to cover for other team members, business line clients and work collectively is a prerequisite.

Principle Accountabilities

  • Reviewing, drafting & negotiating contracts, including (which may be highly complex
  • General service agreements
  • Licence agreements
  • Memoranda of understanding / letters of intent
  • Confidentiality agreements
  • All forms of contract amendments
  • Dealing/assisting with disputes, including litigation / arbitration.
  • Reviewing and maintaining contract templates
  • Providing general legal advice to business units and to other corporate functions.
  • Travel, including overseas travel, as required.
  • To follow and promoting internal contract review process, procedures and practices in accordance with CGG General Instructions,
  • Writing contracts requirements in conformance with all applicable laws and in compliance policies & procedures.
  • To ensure that the contracts activities are performed in accordance with all procedures, local content requirements e.g. Compliance
  • Ensuring that confidentiality is maintained
  • working co-operatively and jointly with other departments (Tax, Compliance & Finance) to provide legal reviews of high standard.
  • If requested by the workload, review contracts for a variety of business lines and have a flexible, team approach.
  • To prepare and review the Contract Amendments and Change Orders.
  •  Answer email questions on legal, contractual or process issues
  • Develop and assist Business line personal knowledge within reasonable confines.
  • Providing legal support for corporate work, including, mergers and acquisitions, joint ventures, corporate restructuring and equity financing

  • Ability to communicate clearly with the ability to explain legal issues in a readily understood manner, and strong negotiation and presentation skills.
  • Ability to draft legal documentation, sometimes complex within deadlines.

  • Commitment to the understanding or experience of Oil and Gas industry desirable
  • French spoken and written skills and would be advantageous.
  • Management experience would also be advantageous.

Qualifications

  • Legally qualified LLB/GDL 2:1 or higher required. LPC desirable.
  • 5 years+ PQE Solicitor or Legal Executive, or equivalent experience desirable.
