Job Description

The General Counsel serves as in-house legal guide, providing advice on all matters of law.  This role ensures legal compliance and limits risk exposure. This position will be part time (benefits eligible) with the successful candidate required to work 21 hours per week. 

Essential Duties:

  • Provides legal support, interpretations and recommendations to Executive Management Team and Board of Trustees on corporate governance, regulatory compliance and ethical matters, as well as legal and management issues specific to tax-exempt organizations. 
  •  Serves as member of CASES Executive Team.
  • Advises on various matters such as legal rights, and new and existing laws.
  • Conducts legal research and reviews CASES’ strategy pertaining to legal actions.
  • Predicts issues and estimates risk in advance. Proactively look for solutions and better practices to mitigate risk.
  • Advises on practices, policies, and legal issues regarding employment matters.
  • Manages relationship with outside counsel.  Deals with external parties such as regulators and external counsels.
  • Drafts and /or reviews all program related legal documents including but not limited to client release forms and confidentiality agreements.
  • Drafts and/or reviews all contracts and agreements including professional services, equipment lease, consulting agreements, subcontracts, subtenant leases for participants enrolled in supported or transitional housing and contracts relating to the Affordable Care Act.
  • Reviews insurance policies, residential and commercial leases and other program and agency documents.
  • Processes and responds to subpoenas.
  • Serves as a member of the First Responder Cohort as outlined in CASES’ First Responder Policy and Procedures.
  • Serves as Secretary to the Corporation. Attends all meetings and is responsible for recording minutes of all board and committee meetings.
  • Advises the Board on its roles and responsibilities.
  • Maintains key corporate documents and records.
  • Responsible for corporate disclosure and compliance with state corporation laws.

 Secondary Duties:

  • Notarizes corporate documents.
  • Other duties, as assigned.

Qualifications

  • Law degree;
  • Member of the New York State Bar in good standing;
  • Five to ten years’ legal practice or general counsel experience;
  • Experience with corporate governance issues and corporate secretarial duties.
  • Excellent knowledge of wide range of legal issues. Knowledge of New York State Non-profit Law, Health Care Law, and Criminal Law a plus.
  • Demonstrated acuity in integrity and professional ethics;
  • Excellent oral and written communication skills; and
  •  High analytical ability and judgement with strong attention to detail.
  •  Knowledge of statutes, rules and regulations pertaining to businesses.
  •  Understanding of business sensitivities and confidentiality
  • Ability to develop legal strategy and objectives.
