Job Description
Leading the Company Secretariat team within the Legal function, the Company Secretary role reports directly to our Chief Legal Officer.
This role will be based in our Melbourne CBD office.
The role
This role leads the Company Secretariat team and plays a pivotal role in ensuring that the company and its Australian subsidiaries comply with all relevant corporate governance laws and regulations. Your expertise will support the effectiveness of the Board and its Committees, ensuring informed decision-making and best-practice governance.
Key Responsibilities
- Support and facilitate the effective operation of the Board and its Committees (including agendas, minutes, review of papers, meeting packs and registers, management of corporate records and related stakeholder management)
- Advise the Board, its Committees and management on governance matters, including legal and regulatory developments and best practice
- Advise on compliance with the ASX Listing Rules, including the Company’s continuous disclosure obligations
- Maintain and oversee compliance with the Group’s corporate governance and company secretarial policies, driving continuous improvement initiatives to support the effective operation of the Board and its Committees
- Lead and develop the Company Secretariat team, fostering a high-performance culture.
- Contribute to the leadership of the combined Legal, Company Secretariat, Ethics & Compliance function.
Qualifications
- Experience as a Company Secretary, or part of a company secretariat function, for an ASX-listed company
- Extensive knowledge and practical experience within a company secretariat function, in-house legal team or closely adjacent function
- Strong leadership skills, with a track record of developing teams and driving accountability
- Executive-level communication skills (verbal and written) supporting an ability to engage with stakeholders, influence decision-makers, and manage organisational change
- Proven ability to drive continuous improvement in governance practices .
- High integrity, discretion, and exceptional interpersonal skills
