Job Description

To enable BESIX Power national and international business development efforts in renewable energy (solar, batteries, ...), your primary role will be to support BESIX Power in the drafting, negotiating, and implementing of its contractual documentation related to development, financing, construction, operation of its projects and related corporate activities, in all targeted jurisdictions. In particular, you will, in close coordination with the project team and with other corporate functions,

  • Draft and negotiate a wide range of agreements related to the greenfield or brownfield development of renewable energy projects, including confidentiality agreements, letters of intent, memorandums of understanding, term sheets, partnership and joint venture agreements, EPC contracts, O&M agreements, procurement contracts, power purchase agreements (PPA), land agreements, various financing agreements, share purchase agreements etc.;
  • Assist BESIX Power in its project (company) acquisition activities, including the conduct of due diligences, the provision of legal support to the  structuring of M&A operations, project financing, acquisition financing, structured and tax equity transactions, etc.;
  • Assist in the preparation of the legal documentation for the response to calls for tenders for renewable energy projects and follow the legal aspects of such projects once awarded;
  • Assist BESIX Power in the setting up of partnerships of all forms, draft and negotiate the accompanying legal documentation (including partnership agreements, joint venture agreements, and, in liaison with the Group’s general secretariat, all corporate documentation);
  • Coordinate and supervise the work of the external law firms (in compliance with the BESIX Group policies related to the choice of law firms) in above mentioned fields;
  • Monitor, analyse,  and implement new regulations applicable to BESIX Power’s business.

Qualifications

  • University degree in law, with a strong academic track record; any additional degree is a plus
  • Seven to ten years of relevant and demonstrated experience in contract drafting and negotiation, commercial law, and corporate law, either in a major law firm, or with a company, preferably in an international and business development context.
  • Solid exposure to energy projects, and ideally experience within international infrastructure or energy companies, where you have developed strong expertise in contract management. Previous involvement in cross-border project management would be considered a valuable asset
  • At ease in dealing with complex projects and project documentation
  • Fluent in English; any other language is a plus
