Job Description

As Group Corporate Housekeeping Officer you will be responible for the corporate housekeeping of the Belgian and foreign companies of the group. Working in close collaboration with relevant stakeholders from the various Belgian and foreign companies of the Group and BESIX Group's headquarters based Corporate Legal Counsel, your main tasks will be the following:

  • Drafting company secretarial documents (FR/NL/EN, ordinary/special: minutes of boards of directors and shareholders meetings, reports, powers of attorney, publications, …)  for about 10 Belgian companies and in support to about 230 Belgian and foreign subsidiaries and branches
  • Drafting quarterly reviews of realized and ongoing corporate transactions (acquisitions, incorporations, registrations, divestments and liquidations)
  • Providing documentation and information as a support to ongoing business operations
  • Collecting and checking legal information and supporting documentation (in regional language) on about 240 subsidiaries and updating of web application (a.o. datasheets)
  • Following up on signing process of all documents + securing publication in Belgian Official Gazette
  • Keeping factsheet document of all group companies up to date
  • Issuing advisory reports to subsidiaries pointing out missing steps towards legal compliance and giving support to realize them
  • Following up on corporate changes (address/capital-shareholdership/directors)
  • Following up on excerpts from crossroads bank
  • Assisting with Belgian UBO register
  • Assisting in process of incorporation and liquidation of SPVs

Qualifications

  • You have at least a Bachelor law degree and/or relevant experience as paralegal either in-house or for a law / notary firm.
  • You have experience with drafting and managing daily corporate correspondences
  • You speak French, Dutch and/or English
  • You are used to working with Microsoft Office (Word, Excel, PowerPoint)
  • You adopt a pragmatic business approach and understand the impact of legal issues on the broader business
  • You have strong communication and interpersonal skills and are able to work in a demanding environment
  • You can switch quickly but you always remain critical and accurate
  • You like to work in a team and enjoy sharing knowledge, but you are able to work independently and take on responsibilities
  • Experience in the construction industry is a plus
