Steelmaking coal is an essential ingredient in blast-furnace steel manufacture, producing steel used for critical building and infrastructure around the world.  In Australia, we operate five steelmaking coal mines in Queensland’s Bowen Basin, and have additional joint venture interests in manganese, as well as copper exploration projects underway in North West Queensland and Western Australia.

Job Description

We are seeking an experienced Company Secretarial Specialist to support the delivery of company secretarial compliance, governance advisory and joint venture management activities across the Steelmaking Coal business. This is a hands-on role requiring both the judgement to advise on governance matters and the discipline to manage detailed statutory, administrative and recurring compliance obligations across a portfolio of unlisted Australian entities.  The role also provides key support for the administration, governance and management of our joint ventures, including partner communications and approval requirements.

Reporting to the relevant Legal Manager and working closely with the broader Legal team, this role suits someone who is highly organised, commercially aware and meticulous, with the confidence to advise senior internal and external stakeholders and engage professionally with joint venture partners, while also taking ownership of core governance processes and recurring compliance requirements.   It will suit a self-directed person who can quickly understand what is required, anticipate issues, manage competing priorities and take ownership of both advisory work and the underlying processes that support it.

Key responsibilities

Company secretarial & governance compliance

  • Provide practical governance advice and support on company secretarial matters, including board approvals, director obligations, entity management and compliance requirements
  • Deliver company secretarial compliance activities in line with regulatory and legal obligations and internal governance requirements
  • Support the company secretaries for a range of Australian entities, including preparation of board documentation, maintaining statutory registers and records, and managing lodgements
  • Manage processes relating to director appointments, resignations and changes, ensuring timely and accurate execution
  • Maintain governance calendars, trackers and workflows to ensure all routine, recurring and time-sensitive compliance activities are identified early, visible to the Legal Manager and other Legal team members as relevant and completed accurately and on time
  • Develop, maintain and continuously improve systems, frameworks, processes and controls so that recurring compliance, governance and joint venture obligations are visible, reliable and capable of being managed consistently
  • Proactively identify upcoming obligations, deadlines, process gaps and governance risks, and escalate or coordinate action as required
  • Support, implement and continuously improve governance frameworks appropriate to the business

Joint venture management

  • Maintain a strong working knowledge of joint venture agreement terms, interpret and apply joint venture arrangements, in collaboration with the Legal team, to support the business in identifying, implementing and tracking approval, consultation and reporting obligations.
  • Provide practical governance support in relation to joint venture committee processes, partner communications, approvals and compliance requirements.
  • Support the administration and governance requirements of Steelmaking Coal joint ventures including by maintaining visibility of key obligations, deadlines and recurring requirements
  • Proactively monitor joint venture obligations, approval requirements, and meeting cycles, ensuring deadlines and key tasks are identified early, tracked, and followed through to completion
  • Coordinate internal processes and input to ensure joint venture approvals, reporting, meeting requirements and other obligations are met accurately and on time
  • Establish, maintain and improve joint venture governance processes, trackers and handover materials so that obligations are managed consistently and are not dependent on individual knowledge
  • Act as a key interface with joint venture partners, fielding queries, coordinating responses and ensuring communications are accurate, appropriate and aligned with joint venture agreements
  • Organise and coordinate joint venture management committee meetings, including scheduling, preparing meeting packs, circulating papers and distributing minutes and actions

Qualifications

  • You are an experienced governance, legal or corporate compliance professional who combines strong judgement with excellent attention to detail. You are comfortable advising on governance requirements, engaging with senior stakeholders and working through complex issues, while also taking pride in building and improving reliable systems and delivering recurring compliance work accurately and on time. You are self-directed, structured and proactive, and you bring order and visibility to busy workflows with multiple internal and external demands. Significant experience in a company secretarial, governance, legal or corporate compliance role, preferably within a complex corporate or resources environment
  • Sound understanding of Australian company law, governance requirements and the practical operation of corporate approval and compliance processes
  • Strong interpersonal and communication skills, with the confidence and judgement to deal professionally with senior internal stakeholders and external joint venture partners
  • A highly methodical, organised and systems-oriented approach, with excellent attention to detail and a strong focus on visibility, follow-through and reliable handover
  • Demonstrated ability to exercise sound judgement, manage sensitive information, identify governance issues early and provide practical, risk-aware advice to internal stakeholders
  • Demonstrated ability to establish, maintain and improve governance systems, calendars, trackers and processes so that key obligations are visible, reliable and not dependent on individual knowledge
  • The ability to manage recurring compliance obligations and detailed administrative processes accurately and consistently, while also responding to complex, time-sensitive governance and joint venture matters during periods of competing demand
  • High level of initiative and ownership, including the ability to anticipate what is required, prioritise effectively and follow matters through to completion without close supervision
  • Relevant tertiary qualification in law, business or governance (or equivalent practical experience)
  • Governance Institute of Australia certification or membership (or progress toward) will be viewed favourably
