Overview:


Reporting to the Vice President, Sr. Associate General Counsel, the Senior Corporate Counsel, Real Estate & Transactions will have primary responsibility for providing legal support on commercial real estate and corporate matters serving clients at the officer and senior management levels. The attorney in this role will deliver high-quality, high-value support on commercial real estate matters of critical importance and provided transactional support across the Adtalem enterprise and its portfolio of educational institutions. This individual has a broad substantive skill-set, plus the interpersonal strengths, resourcefulness and drive to handle directly the wide ranging routine legal needs of the Company.
 

Essential Duties and Responsibilities

  • Provide advice and counsel to executive, corporate and business management regarding real estate matters, including but not limited to, leasing, sub-leasing, build-outs, construction contracts, engineering, professional services, SDNAs, and purchase and sale agreements (PSAs); provide general commercial transactional support; and also assist in the structure and negotiation of key business initiatives in a manner that helps the business achieve its objectives while mitigating legal, reputation and regulatory risk. 
  • Oversee, maintain and negotiate a variety of complex agreements, including information technology, software licenses, real estate leases/sub-leases, other real estate documents and agreements, business process and technology outsourcing agreements and a variety of supplier and client-related contracts. 
  • Serve as lead counsel on general commercial and corporate legal support to the Company’s domestic and international business operations. 
  • Respond to inquiries from management and consultants regarding contract obligations, revisions and status on contract review and negotiation. Provide end to end solution for key stakeholders in relation to contracts, disputes or other project-oriented activities. 
  • Performs special assignments or projects involving playbook development, clauses libraries, contract management systems, systems and tools implementation, without significant supervision, as assigned by the Vice President, Sr. Associate General Counsel. 
  • Completes other duties as assigned.

Qualifications

To perform this job successfully, an individual must be able to perform each essential duty satisfactorily.  Below are the minimum requirements of the education, experience, knowledge, and skills required to competently perform in this position.  Reasonable accommodations may be made to enable individuals with disabilities to perform the essential functions.

  • J. D. from an accredited law school. 
  • Must be in good standing with the Illinois State bar. 
  • 5 to 7 years prior experience as an attorney practicing in a law firm or corporate in-house legal experience. 
  • Expertise in commercial real estate transactions.
  • Strong problem-solving skills with the ability to quickly assess potential for risk and opportunity. 
  • Exemplary analytical and interpretation skills; strong legal research, writing, negotiation and organizational skills. 
  • Ability to effectively communicate and interact with clients at all levels of the organization, including senior management. 
  • Must be able to exercise sound judgment and work independently and efficiently under time pressures and deadlines in a fast-paced environment with attention to detail. 
  • Possesses strong work ethic and customer service orientation and ability to prioritize conflicting demands from multiple business clients. 
  • Strong performer in high volume periods involving multiple client relationships, projects, and direct reports. 
  • Must be a business minded, results oriented problem solver. 
  • Leadership experience with broad range of commercial legal matters and issues, including: (i) demonstrated ability to lead cross-functional teams pursuing complex transactions; and (ii) proven capability to assume responsibility for managing third party service providers, including direct management of outside counsel of varying firm sizes and expense. 
  • Highly effective at distilling and explaining complex legal issues to personnel at all levels of the organization. 
  • Excellent prioritization skills with ability to multi-task; nimble and responsive; action oriented and accountable.

Additional Information

In support of the pay transparency laws enacted across the country, the expected salary range for this position is between $97253.99 and $175761.85. Actual pay will be adjusted based on job-related factors permitted by law, such as experience and training; geographic location; licensure and certifications; market factors; departmental budgets; and responsibility.
