Assistant Legal Counsel - Commercial Transactions

Job Description 

A&F is seeking an Assistant Legal Counsel to provide commercial contract and transactional counsel to the company as necessary to support our existing store base, e-commerce platforms, corporate operations, and international growth. This position reports directly to the Legal Counsel of the Contracts and Commercial Transactions group and will work closely with A&F’s global Legal and Compliance teams, as well as the Procurement; Supply Chain, Distribution, and Logistics; Real Estate; Marketing; Information Technology; and Finance. 

This job is located at our Global Home Office in Columbus, Ohio.  

What Will You Be Doing? 

  • Assist in drafting, reviewing, and negotiating various forms of domestic and international contracts, including marketing and promotional agreements; supply chain and logistics agreements; various technology/IT contracts including SAAS, hardware, software, and service contracts; consulting contracts; vendor and supplier agreements; non-disclosure agreements; sponsorship agreements; and service agreements.
  • Assist the Legal team with the implementation of new contracting processes, policies and procedures, including building, training and monitoring components.
  • Assist with commercial disputes and litigation as necessary.

What Do You Need To Bring? 

  • Strong Academic Background including a JD from an accredited law school (required)
  • Active member of the Ohio Bar with a minimum of 1-3 years working experience as a lawyer handling complex commercial transactions - transactional experience for either an international law firm or multi-national corporation is highly desired. 
  • Experience acting as lead on the negotiation of IT/technology agreements, marketing agreements, and general services agreements is a plus
  • Ability to work in a highly collaborative, fast-paced environment
  • Ability to manage a high volume of demands with shifting priorities, and an eagerness take on new challenges as a self-starter
  • Strong organizational skills
  • Ability to succeed with minimal oversight or management
  • Ability to work independently as well as with others while balancing multiple tasks
  • Open for challenges and willing to work outside of defined scope
  • Excellent oral and written communications skills
  • Demonstrated ability to collaborate with cross-functional business teams outside of Legal
